Your servers, always smiling. These terms govern your use of the Statusly cloud hosting and monitoring platform. By accessing or using Statusly, you agree to be bound by these Terms of Service.

1. Acceptance of Terms

By creating an account on Statusly and using our Services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you are not permitted to use the Service. We reserve the right to modify these terms at any time. Your continued use of the Service following such modifications constitutes your acceptance of the new terms.

2. Acceptable Use Policy

Allowed Usage

You may use Statusly to host web applications, APIs, static sites, background workers, and scheduled jobs. You are responsible for ensuring your code and content comply with all applicable laws. You may not use the Service for any illegal activities, including but not limited to the distribution of malware, phishing, or unauthorized access to other systems.

Prohibited Activities

You may not use Statusly to facilitate spam, bulk messaging, or any form of unsolicited communication. You may not attempt to reverse-engineer, decompile, or disassemble our software. Engaging in denial-of-service attacks or attempting to degrade the performance of the Statusly network or other users is strictly prohibited.

We reserve the right to terminate your account immediately if we determine that you have violated these policies.

3. Service Availability and SLA

We strive to provide a highly reliable service. Statusly guarantees a Monthly Uptime Percentage of 99.99% for all services on the Pro and Enterprise plans. This guarantee applies to the uptime of our infrastructure, not the uptime of your specific application code. Uptime is measured as the total time the Service is operational and accessible to you, excluding scheduled maintenance.

4. Payment Terms and Refund Policy

You agree to pay all fees incurred by your use of the Service. Fees are billed in advance on a recurring basis. All credit card information is stored securely by our payment processor. If you cancel your service, you will continue to have access to the Service until the end of the current billing period.

Refund Policy: We offer a 30-day money-back guarantee for all new paid subscriptions. If you are not satisfied with Statusly within the first 30 days of your paid subscription, contact our support team for a full refund, no questions asked.

5. Account Termination Conditions

We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof) for any reason, including but not limited to: breach of these Terms of Service, suspected fraud, or any activity we believe may be harmful to our interests, other users, or third parties.

6. Intellectual Property

Statusly owns all right, title, and interest in and to the Statusly platform, including all intellectual property rights therein. Your use of the Service grants you a limited, non-exclusive, non-transferable license to access and use the platform solely for your own business purposes. You retain all ownership rights to your own data, code, and content hosted on the Service.

7. Limitation of Liability

In no event shall Statusly or its directors, employees, affiliates, agents, contractors, or interns be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Governing Law and Dispute Resolution

These Terms of Service and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms of Service will be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby consent to the personal jurisdiction and venue in such courts.

9. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
